Welcome to PantoSource ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website (pantosource.com), web applications, and services (collectively, the "Service"). By accessing or using the Service, you ("Customer" or "you") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

1. Eligibility and Account Registration

1.1 Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement.

1.2 Account Creation

To access the Service, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Please notify us immediately at support@pantosource.com if you suspect any unauthorized use of your account.

1.3 Account Restrictions

Each individual accessing the Service must register for their own account. Sharing account credentials or using shared accounts is prohibited and may result in immediate suspension or termination of access to the Service.

2. Description of the Service

2.1 Overview

PantoSource provides marketing analytics and attribution tools for e-commerce businesses. The Service enables you to track website visitor activities, attribute customer actions to their respective marketing sources, and facilitate data sharing back to advertising platforms to improve campaign performance.

2.2 Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

2.3 Third-Party Integrations

You may connect the Service to third-party platforms, including but not limited to Shopify, WooCommerce, Meta, Google Ads, TikTok, and other e-commerce or advertising platforms. Your use of such third-party services is subject to their respective terms, and we are not responsible for their actions, data practices, or availability.

You acknowledge that PantoSource is not liable for any interruptions or issues caused by third-party services. It is your responsibility to ensure such services are properly configured for use with the Service.

3. Subscription Plans and Payment

3.1 Subscription Plans

PantoSource offers the following subscription plans:

• Explore — $49/month (Up to 600 orders/month, up to 4 stores)

• Builder — $149/month (Up to 3,600 orders/month, up to 8 stores)

• Team — $249/month (Up to 9,000 orders/month, up to 15 stores)

All plans include: connection to all major ad platforms, full tracking and enrichment, AI-powered attribution engine, instant data sync to ad managers, unlimited pixels per store, and a 45-day money-back guarantee.

3.2 Payment

Payment for subscription fees is charged at the beginning of each billing period. Payments can be made through the payment methods provided. By subscribing, you authorize PantoSource to charge your payment method for subscription fees and any applicable taxes.

3.3 Overage Fees

If your order usage exceeds the included limits of your subscription plan within a billing cycle, overage fees may apply. Overage fees are calculated at the end of the applicable billing cycle and billed automatically on the subsequent invoice. By continuing to use the Service beyond the included limits, you agree to pay any applicable overage fees.

3.4 Trial Period

PantoSource offers first-time registered users a trial period of 14 days starting on the date of registration, during which you may test and experience the Service at no charge.

3.5 Changes to Fees

PantoSource reserves the right to change subscription fees with 30 days' notice. Continued use of the Service after fee changes take effect indicates your acceptance of the new fees.

3.6 Taxes

All fees are exclusive of any applicable taxes, levies, or duties. You are responsible for payment of all such taxes associated with your subscription.

4. Cancellation and Refunds

4.1 Cancellation by You

You may cancel your subscription at any time through your account billing settings. Your subscription will remain active until the end of the current billing period. You remain liable for any fees or overage charges incurred during the final billing period.

4.2 Money-Back Guarantee

PantoSource offers a 45-day money-back guarantee. If you are not satisfied with the Service within the first 45 days of your paid subscription, you may request a full refund by contacting support@pantosource.com.

4.3 Other Refunds

Outside of the 60-day money-back guarantee, subscription fees are non-refundable unless required by applicable law or expressly agreed in writing by PantoSource. Refunds for billing errors or unauthorized charges may be issued at our discretion upon review.

5. License and Restrictions

5.1 License Grant

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

5.2 Restrictions

You shall not:

• Resell, sublicense, or redistribute the Service to any third party

• Reverse engineer, decompile, or attempt to derive the source code of the Service

• Use the Service in violation of any applicable laws or regulations

• Use the Service to distribute malware, spam, or engage in any harmful activities

• Modify, copy, or create derivative works based on the Service

• Remove any copyright or proprietary notices from the Service

This license shall automatically terminate if you violate any of these restrictions and may be terminated by PantoSource at any time.

6. Customer Data and Privacy

6.1 Customer Data

"Customer Data" means any data submitted by you or collected on your behalf through the Service. You represent and warrant that you have all necessary rights and consents to provide Customer Data and that our processing of Customer Data in accordance with these Terms and our Privacy Policy will not violate any applicable laws or third-party rights.

6.2 Privacy and Compliance

Our processing of personal data is governed by our Privacy Policy and applicable data protection laws. You are solely responsible for implementing and managing user consent mechanisms in compliance with applicable laws (including GDPR and CCPA) when using our Service.

6.3 Data Security

We implement commercially reasonable measures to protect Customer Data. However, no data transmission or storage system is completely secure, and we cannot guarantee absolute security.

6.4 Data Retention

We will retain Customer Data as permitted by our internal policies and applicable law. You may request deletion of Customer Data by contacting privacy@pantosource.com, subject to legal or contractual limitations.

7. Prohibited Data and Activities

7.1 Prohibited Data

You agree not to use the Service to collect, store, or process any data that is subject to heightened legal or regulatory protections, including but not limited to:

• Health information protected under HIPAA or similar laws

• Payment card data governed by PCI-DSS

• Government-issued identification numbers (e.g., Social Security numbers)

• Biometric data or other special categories of personal data

7.2 Prohibited Activities

You shall not use the Service to:

• Engage in any unlawful activities

• Distribute harmful code or malware

• Infringe the intellectual property or privacy rights of others

• Harass, abuse, or harm others

• Interfere with or disrupt the Service or its infrastructure

PantoSource may immediately suspend or terminate your account if you violate this Section.

8. Intellectual Property

8.1 Our Intellectual Property

We retain all right, title, and interest in and to the Service and all related intellectual property, including trademarks, logos, software, and documentation.

8.2 Feedback

Any suggestions, feedback, or recommendations you provide shall be deemed non-confidential. We may use and incorporate such feedback without any obligation to you.

8.3 Derived Data

We retain ownership of any anonymized or aggregated data derived from use of the Service. We may use this derived data for analytics, product improvements, or other lawful purposes, provided that such use does not disclose personally identifiable information.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

PantoSource does not warrant that:

• The Service will be uninterrupted or error-free

• The Service will meet your specific requirements

• The results obtained from the Service will be accurate or reliable

• Any errors in the Service will be corrected

10. Limitation of Liability

10.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANTOSOURCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR OTHER SIMILAR LOSSES ARISING OUT OF OR RELATED TO THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Limitation of Aggregate Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANTOSOURCE'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PANTOSOURCE FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM. IF YOU HAVE NOT PAID ANY AMOUNTS TO PANTOSOURCE, OUR LIABILITY SHALL BE LIMITED TO $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless PantoSource, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service in violation of these Terms or applicable law

• Your Customer Data

• Any breach of your representations or warranties herein

• Your violation of any third-party rights

12. Suspension and Termination

12.1 Suspension

We may suspend your access to the Service if:

• We reasonably believe you have breached these Terms

• Your use of the Service poses a security risk or adversely impacts other customers

• We are required to do so by law or a governmental authority

Suspension does not relieve you of your obligation to pay any outstanding fees.

12.2 Termination by You

You may cancel your subscription at any time via your account billing settings. Your subscription will remain active until the end of the current billing period.

12.3 Termination by Us

We may terminate these Terms and your access to the Service if you materially breach these Terms and fail to cure such breach within thirty (30) days of receiving written notice. We may also terminate immediately if required by law or to prevent serious harm.

12.4 Effect of Termination

Upon termination:

• You must immediately cease all use of the Service

• PantoSource will disable access to the Service

• Any outstanding fees or charges remain due and payable

• Customer Data will be handled in accordance with our Privacy Policy

13. Confidentiality

13.1 Definition

"Confidential Information" means any non-public, proprietary, or sensitive information disclosed by one party to the other that is designated as confidential or would reasonably be understood as confidential.

13.2 Obligations

Each party shall use the other party's Confidential Information only to fulfill its obligations under these Terms and shall not disclose it to any third party without written consent, except as required by law.

14. Service Availability

While we strive to provide reliable and continuous access to the Service, we do not guarantee uninterrupted or error-free performance. Temporary interruptions may occur for maintenance, upgrades, or circumstances beyond our control. Scheduled maintenance will be communicated in advance whenever possible.

15. Force Majeure

Neither party shall be liable for delays or failures to perform any obligation under these Terms due to events beyond their reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, pandemics, government actions, or other unforeseen circumstances.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], United States, without regard to its conflict of law provisions.

16.2 Dispute Resolution

All disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

16.3 No Class Actions

To the fullest extent permitted by law, you agree that all disputes shall be resolved on an individual basis, and that you will not bring or participate in any class, consolidated, or representative action against us.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PantoSource regarding the Service.

17.2 Waiver

Failure to enforce any provision shall not constitute a waiver of that provision or any other provision.

17.3 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Notices

We may provide notices to you by email, by posting on our website, or through your account dashboard. You may provide notices to us at legal@pantosource.com.

17.6 Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the revised Terms on our website or through the Service with at least 30 days' notice. Your continued use of the Service after the revised Terms go into effect constitutes your acceptance of the changes.
